For title professionals: insuring and closing a property held in a Fabrica trust

If you are a title agent, escrow officer, or underwriter looking at a property held in a Fabrica trust, this page summarizes the structure in title terms and the documentation available to you. Properties held this way have been examined, insured, and closed by major national carriers, including First American, and the structure itself has been cleared for title insurance.

The structure, in title terms

Each property is held by its own state-law trust. The trust is nominee-style: one property per trust, with the trust holding record title and the beneficiary holding all beneficial interest. The transfer into the trust is a change in the method of holding title, not a change in beneficial ownership, and it is not a financing transaction. No lien or encumbrance is created by the trust itself.

The beneficiary is the current holder of the property’s token, and under the trust agreement the beneficiary is also the trustee unless a different trustee has been appointed. Trusteeship follows beneficial ownership automatically. Fabrica is not a party to the trust and never appears in the chain of title.

Signings connected to these instruments are completed with remote online notarization, with the signer’s trustee capacity stated in the acknowledgment. Common questions

Does the trust cloud title? No. The chain shows a deed into the trust and, at exit, a deed out. Quiet title is not required; the standard documentation above has satisfied underwriting review.

Who has authority to sign? The current trustee, which by default is the beneficiary. The Certification of Trust identifies them.

Is this a crypto asset in the chain of title? No. The chain of title contains ordinary recorded deeds. The token operates at the trust-beneficiary level and never appears in county records.
